Investor Relations Policy

I. Commitment to Transparency and the Conduct of Investor Relations

Vivant considers its investors as important stakeholders of the Company.  As such, guided by its commitment to transparency, Vivant encourages active engagement with existing and prospective investors by regularly communicating relevant information about the Company in order to promote the fair valuation of the Company’s stock, enabling the investing public to make informed decisions on their investments in Vivant.  The Investor Relations (IR) function shall be primarily performed by the IR department, headed by the Investor Relations Officer (IRO) who reports to the Chief Finance Officer (CFO). The Chief Executive Officer (CEO), heads of the strategic business units, and other members of senior management may also participate in IR activities such as meetings with investors, fund managers and analysts.

II. Investor Relations Function

The IR function involves all activities performed by Vivant that are related but not limited to the following:

  1. Effectively and efficiently communicating relevant, accurate, material and timely information about the Company’s operations, financial condition, and strategies;

  2. Ensuring that any external communication about Vivant’s current or prospective business and financial performance is done in a transparent and professional manner;

  3. Building relationships with the investing public through initiatives that will strengthen the reputation of the Company.

III. Investor Relations Modes of Communication

Vivant shall endeavor to engage with the investing public through any of the following modes of communication:

  1. Conduct Annual Stockholders’ Meetings (ASM);

  2. Disclose annual and quarterly earnings information, financial statements, and reports on business developments;

  3. Attend meetings (face-to-face and conference calls) with investors, equity analysts, stockbrokers, fund managers, and other members of the investing public;

  4. Address questions and clarifications received from members of the investing public through established access points (i.e. VVT website, IR email and contact numbers);

  5. Participate in investor conferences and roadshows.
